Emily Ellis works closely with Nevers Palazzo’s corporate and real estate attorneys as a paralegal. She is instrumental in the closing of business transactions, manages corporate recordkeeping, and facilitates corporate formation and dissolution. In assisting the firm’s real estate attorneys, Emily reviews title reports and related documents, assembles and finalizes loan documents, prepares closing instructions, prepares closing binders and handles post-closing matters.
Emily applies substantial transactional experience to assist with the formation of business entities, including corporations, limited liability companies and limited partnerships, managing all aspects of entity filings with the California Secretary of State and other states, as needed. She also assists clients with compliance issues, such as qualifying companies to transact business in various states, filing necessary annual reports, preparing annual minutes of meetings of corporate boards of directors and shareholders, and fictitious business name filings.
In assisting with the closing of business and real estate loan transactions, Emily manages loan documentation, entity organizational documents, disclosure schedules, due diligence summaries, and closing instructions. She also attends to various post-closing matters.
Emily joined Nevers Palazzo in 1998 as a legal secretary before becoming a paralegal in 2001.
