Eric Jones practices in the area of corporate and business law, counseling privately held companies and their owners in structuring, negotiating, and closing strategic transactions. His experience includes equity and asset acquisitions, financings, mergers, entity conversions and dissolutions, commercial transactions, and corporate governance matters. Eric advises on entity formation, investment-banker and accounting-firm engagement letters, term sheets and letters of intent, shareholder agreements, and general commercial contracts, including master services agreements, statements of work, and indemnity. Eric earned his Master of Laws in Taxation and works closely with clients’ tax advisors to address tax issues that may impact pending transactions.

The Pacific Coast Business Times named Eric to the “40 under 40” class in 2020 and “Who’s Who in Professional Services” lists in 2020, 2021, 2022, 2023 and 2024.  The Greater Conejo Valley Chamber of Commerce named Eric to its “40 Under Forty 2021” class.  He has also been named a Rising Star in the mergers and acquisitions practice area by Southern California Super Lawyers (2021 and 2022).

Eric is a dual citizen of the United States and New Zealand and serves as the point of contact for the law firm with Kiwis in LA (which the law firm is a proud sponsor). He is passionate about assisting New Zealanders with business operations here in the United States. In his personal time, Eric enjoys collecting fine wine and taking his dog for long walks.

My focus is on the legal issues related to mergers and acquisitions and private equity investments.

Clients want efficient service that does not lose sight of their goals and objectives.

The big challenges are risk exposure and preservation of the economics of the desired business deal. I help clients to understand the change in risk exposure and deal economics caused by proposals from counsel to the other party, such as an acquirer, investor, etc.
